The Outlook will create the file of its own copy which store under the following:

a) Username

b) Data Application

c) Microsoft

d) Stationary

e) Documents and Settings

The Outlook will reference the new file, if you save and edit this file, if you want to make and instant change in the stationary you created.

You can use the CSS, if you want your elements in greater control if you think that the old plain HTML looks boring to your templates email.
